The Company needs ongoing, comprehensive, and proactive legal counseling across various areas to support its daily management activities, as requested day-to-day by Kinich. These areas include (but are not limited to):

In the state of Morelos, Mexico, CTG Latam owns a photovoltaic plant with the capacity of 85.6MWp/70MW. In 2022 and 2023, some PV panels and trackers were damaged due to hurricane. Valuation of Asset Impairment & Derivative & Transfer Pricing 2025 For Kinich & SPVS
CTG Latam invites suppliers to participate in the procurement process for the Valuation of Asset Impairment, Derivative Instruments, and Transfer Pricing 2025 for Kinich and SPVS. The purpose of this project is to ensure compliance with international accounting and tax standards (IFRS and IAS 36), guaranteeing that intercompany transactions, asset impairment assessments, and derivative valuations are conducted at fair value by independent experts. The service period will run from January 1 to December 31, 2025.
Interested bidders must meet specific technical and professional qualification requirements in tax, accounting, and financial analysis. Each supplier must provide a team of at least three professionals with backgrounds in Economics, Accounting, Finance, or Financial Engineering—preferably holding certifications such as CFA or CPA—and at least one proven record of relevant project experience. The FV Xoxocotla photovoltaic solar plant requires routine cleaning of modules and vegetation control to maintain optimal performance, safety, and regulatory compliance. Private Security 3-Year Service for Guanajuato Plant
In Mexico, CTG Latam owns a photovoltaic power station, which is located in San Miguel de Allende, Guanajuato (Mexico), called “Parque Solar PV Mexsolar I and Parque Solar PV Mexsolar II”. CTG Latam is seeking a private security company to provide 3-year security service since 1st of November 2025.
In Colombia, CTG Latam starts the procurement process for the B2 Bugambiles Project and B3 Nísperos Project 2-year O&M service:
B2 Bugambiles Project (SPV name: Fotovoltaico El Caracolí S.A.S. E.S.P.) has an installed capacity of 9.9 MW on the AC side and 11.66 MWp on the DC side. The project adopts 35 units of 330 kW inverters, which are connected to two 13.8kV/0.8kV copper-core, oil-immersed, self-cooled, dual-split transformers with a capacity of 6,600 kVA each. The electricity is ultimately delivered to the AIRE substation on the opposite side via a 13.8 kV transmission line.
B3 Nísperos Project (SPV name: Fotovoltaico Cecropia Solar S.A.S. E.S.P.) has an installed capacity of 19.9 MW on the AC side and 23.33 MWp on the DC side. The project adopts 78 units of 330 kW inverters, which are connected to four 13.8kV/0.8kV copper-core, oil-immersed, self-cooled, dual-split transformers with a capacity of 6,600 kVA each. The electricity is ultimately delivered to the AIRE substation on the opposite side via a 13.8 kV transmission line.
Both projects are scheduled to achieve COD by December 31, 2025.

In Mexico, CTG Latam owns a power station named Xoxocotla. The location is Parque solar Fotovoltaico Xoxocotla, Km 7.5 al suroeste de la población de Ayala entre la av. Jose Maria Morelos y la carretera Yautepc-Jojutla, Municipio de Ayala, estado de Morelos, C.P. 61718, Mexico.
It has five (5) collecting power lines, with a total designed installed capacity of 85.6MW. The voltage is boosted to 34.5kV through 14 double-split transformers with specifications of 5668kVA/34.5/0.65kV, merged through the 34.5kV collecting power lines, passed through a main transformer with a capacity of 83.33MVA/115/34.5kV. After boosting to 115kV, it is connected to the 115kV power grid. The main transformer uses on-load tap changer, 115kV±10×1%, and the voltage adjustment range is ±10%. At present, when the power station is generating energy, the inverter not only outputs active power, but also outputs reactive power for reactive power compensation. In this situation, the on-load tap changer of the main transformer operates frequently. It is estimated that the annual direct energy loss caused by power quality issues accounts for around 3% of the annual power generation.
In this case, CTG Latam is going to release RFP for Research on the application of power efficiency improvement and power quality management device of Xoxocotla power station.
